Acceptance of Terms

By accessing or using Imuka's website and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use our services.

Description of Services

Imuka provides:

• Program Design and Management
• Business development coaching and mentorship
• Accelerator programs and training
• Investor matchmaking and funding facilitation
• Networking and partnership opportunities
• Educational resources and content
• Community access and peer support

We are not a financial institution, investment advisor, or broker. We facilitate connections but do not provide investment advice or guarantees.

Eligibility

To use our services, you must:

• Be at least 18 years old
• Have legal capacity to enter into binding contracts
• Provide accurate and complete registration information
• Comply with all applicable laws in your jurisdiction

Account Registration and Security

Registration Requirements:

• You must create an account to access certain services
• You are responsible for maintaining confidentiality of your credentials
• You must notify us immediately of unauthorized access
• One person or entity per account (no account sharing)

Account Termination:

• We may suspend or terminate accounts for Terms violations
• You may close your account at any time
• Termination does not relieve you of payment obligations

Payment Terms

Fees and Pricing:

• Service fees are displayed on our website and in program materials
• All prices are in US Dollars (USD) unless otherwise stated
• We reserve the right to change pricing with 30 days' notice
• Some services may be offered on a sliding scale or with scholarships

Payment Processing:

• Payments are processed through third-party payment processors
• You authorize us to charge your selected payment method
• You are responsible for all taxes associated with your purchases
• Payment information is subject to our Privacy Policy

Late Payments:

• Late payments may result in service suspension
• We may charge late fees of 5% per month on overdue amounts
• We may engage collection services for significantly overdue accounts

Intellectual Property Rights

Our Content:

• All content, trademarks, and materials on our platform are owned by Imuka or our licensors
• You may not reproduce, distribute, or create derivative works without written permission
• Limited license granted for personal, non-commercial use

Your Content:

• You retain ownership of content you submit (pitch decks, business plans, etc.)
• You grant us a non-exclusive, worldwide license to use your content for service delivery
• You represent that you have rights to all content you submit
• We may showcase your success story (with permission) for marketing purposes

Confidentiality:

• We will treat your business information as confidential
• Information shared with investors/partners requires your consent
• Publicly available information is not considered confidential

User Conduct and Prohibited Activities

You agree not to:

• Provide false or misleading information
• Impersonate others or misrepresent affiliations
• Engage in fraudulent activities
• Violate intellectual property rights
• Harass, abuse, or harm other users
• Attempt to gain unauthorized access to systems
• Use services for illegal purposes
• Spam or send unsolicited communications
• Interfere with platform operations

Investment Facilitation Disclaimer

No Guarantees:

• We do not guarantee funding, investment, or business success
• Matchmaking with investors does not constitute investment advice
• All investment decisions are made independently by investors
• Past performance does not indicate future results

No Fiduciary Duty:

• We are not your financial advisor or fiduciary
• You should seek independent legal and financial advice
• We do not endorse any specific investor or investment opportunity

Due Diligence:

• Entrepreneurs are responsible for accurate representation of their businesses
• Investors are responsible for conducting their own due diligence
• We are not liable for misrepresentations by either party

Limitation of Liability

To the maximum extent permitted by law:

• Services are provided "AS IS" without warranties of any kind
• We disclaim all warranties, express or implied, including merchantability and fitness for purpose
• We are not liable for indirect, incidental, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for third-party actions or content
• We are not liable for business losses, lost profits, or opportunities

Exceptions:

• Nothing in these Terms excludes liability for death, personal injury, or fraud
• Consumer rights under applicable law are not affected

Indemnification

You agree to indemnify and hold harmless Imuka, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your violation of applicable laws
• Your content or business information
• Your interactions with other users
• Misrepresentation of your business

Dispute Resolution

Governing Law:

• These Terms are governed by the laws of Kenya and Uganda.
• Disputes will be subject to the exclusive jurisdiction of courts in Nairobi, Kenya and Kampala Uganda.

Informal Resolution:

• Before formal proceedings, parties agree to attempt good-faith negotiation

Modifications to Terms

We may modify these Terms at any time. We will provide notice of material changes via:

• Email notification
• Website announcement
• In-app notification

Continued use after changes constitutes acceptance. If you disagree, you must stop using our services.

General Provisions

• Severability: If any provision is found invalid, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right does not constitute a waiver.
• Assignment: You may not assign these Terms without our consent. We may assign to affiliates or successors.
• Entire Agreement: These Terms constitute the entire agreement regarding our services.
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
